Affiliate Programme — Terms and Conditions

This document is a draft. It covers the substantive terms, but do not treat it as final without a lawyer’s review — particularly the tax, termination and liability clauses.

1. Subject of the programme

Gammatica Kft. (the "Provider") operates an affiliate programme under which the Partner may refer new subscribers to the Gammatica service via a unique link.

Participation is free and creates no employment, agency, mandate or joint venture relationship between the parties. The Partner acts as an independent contractor.

2. Commission

For a successfully converted referral the Partner is entitled to 50% of the net Pro plan subscription fee, per user, on every successful charge, for one year from the referred subscriber’s first Pro payment. Commission becomes payable 30 days after it accrues (refund window). A Partner may invite at most ten people.

The commission base is SOLELY the Pro plan subscription fee. It expressly excludes: AI credit packs and top-ups, onboarding, migration, training and consulting fees, third-party costs passed through, and any tax, duty or transaction fee.

Commission arises when the referred subscriber has actually paid the fee for the period in question and any withdrawal or refund window has expired without being exercised.

In the event of a refund, chargeback or credit note, the corresponding commission is deducted from the Partner’s balance.

3. Attribution

A referral is attributed to the Partner if the invited person registers through the Partner’s invitation — either the email invitation sent from the partner portal, or the Partner’s own referral link. The invitation link is valid for three weeks; attribution takes effect on registration.

Where more than one Partner link may be associated with a subscriber, the last valid link prevails.

The data recorded in the Provider’s systems is authoritative for attribution.

4. Payout

The Partner may request payout through the partner portal on any available balance; there is no minimum. Payment is made manually, by bank transfer, against an invoice issued by the Partner.

Payout requires that the Partner provides the accounting document required for payment.

Approved payouts are settled by the 15th day of the month following the month in question. Transaction costs are borne by the Partner.

Any tax consequences of the commission are borne by the Partner, who is responsible for declaring and paying tax on the income in their own jurisdiction.

5. Prohibited conduct

Self-referral is prohibited: no commission is payable on a subscription of the Partner, of an entity owned or controlled by the Partner, or of an affiliated company.

Paid advertising on the brand name or misleading variants of it (brand bidding) is prohibited, as is making statements on behalf of the Provider or any deceptive, untrue or unsubstantiated claim about the service.

Spam, fake coupon or "official" lookalike sites, cookie stuffing, automated or purchased traffic, and concealing the affiliate link are prohibited.

The Partner must disclose the referral as advertising wherever law or platform policy requires it.

6. Suspension and termination

The Provider may withhold payout and suspend participation where there is reasonable suspicion of a breach of these terms. Payouts are paused for the duration of the investigation.

In the event of a serious or repeated breach the Provider may terminate participation with immediate effect and withdraw the commission affected by the breach.

Either party may terminate participation without cause on 30 days’ notice. Commission lawfully accrued and unpaid up to termination remains payable to the Partner.

After the programme ends no commission arises on new referrals, and commission on existing referrals ceases with effect from termination.

7. Changes to these terms

The Provider may change the commission rate and the programme terms prospectively, giving the Partner at least 30 days’ notice at the email address provided.

Commission arising after the change takes effect is governed by the new terms. Commission already paid is unaffected.

8. Liability and data

The Provider is not liable for the Partner’s lost profit, nor for damage arising from temporary unavailability of the referral link.

The Partner’s data is processed as set out in the Privacy Policy, for the purposes of operating the programme and making payment.

9. Governing law

These terms are governed by Hungarian law. The parties will seek to resolve disputes by negotiation in the first instance.
